Shipping policy

Scheduling Delivery For each delivery attempt, UBEX will attempt to contact the receiver (End-User) of the shipment two (2) times on their telephone to schedule the delivery. If the receiver (End-User) is unavailable after three (3) attempts, UBEX will contact the Customer for further instructions. If UBEX does not receive any instructions from the Customer regarding the shipment after one (1) week of having notified the Customer, UBEX reserves the right to cancel the delivery and all charges will be borne by the Customer.

Deliveries and Undeliverable

Shipments cannot be delivered to PO boxes. Shipments are delivered to the receiver’s (End-
User) address given by the Customer but not necessarily to the named Receiver personally.

UBEX may notify the receiver of an upcoming delivery or a missed delivery. The receiver may
be offered alternative delivery options such as delivery on another day.
If the Shipment is deemed to be unacceptable as described in Section 8, or it has been
undervalued for customs purposes, or the receiver cannot be reasonably identified or located,
or the receiver refuses delivery or to pay customs duties or other shipment charges, UBEX shall
use reasonable efforts to return the Shipment to Shipper at customer's cost, failing which the
shipment may be released, disposed of or sold without incurring any liability whatsoever to
the Customer or anyone else, with the proceeds applied against Customs duties, shipment
charges and related administrative costs with the balance of the proceeds of a sale to be
returned to the shipper. UBEX shall have the right to destroy any shipment that any law
prevents UBEX from returning to the shipper as well as any shipment of dangerous goods.

Shipment cancelation

If the Customer or the receiver (End-User) of the shipment cancels the delivery after the
(shipment collection) processing stage, the Customer will be charged for the delivery of that
specific shipment but will be charged for standard charges, if applicable.

Unacceptable Shipments

A Shipment is deemed unacceptable if:

I. No customs declaration is made when required by applicable customs regulations.
II. It contains counterfeit goods, animals, bullion, currency, gemstones; weapons, explosives and ammunition, human remains, illegal items, such as ivory and narcotics.
III. It is classified as hazardous material, dangerous goods and prohibited.
IV. Its address is incorrect or not properly marked or its packaging is defective or inadequate to ensure safe transportation with ordinary care in handling. It contains any other item which UBEX decides cannot be carried safely or legally.

Liability

UBEX will make every reasonable effort to deliver the Shipment according to UBEX’s regular
delivery schedules, but these schedules are not binding and do not form part of the contract.
UBEX's liability is strictly limited to direct loss and damage to a shipment only. All other types
of loss or damage are excluded including but not limited to lost profits, income, interest,
future business, whether such loss or damage is special or indirect, and even if the risk of such
loss or damage was brought to UBEX's attention.

Tax

All fees and expenses payable pursuant to this Agreement must be paid together with value
added tax or any similar tax (if any) properly chargeable thereon. Any value added tax
chargeable in respect of any Services supplied by UBEX shall be paid by the Customer together
with penalties, fines or interest thereon imposed from time to time by any taxing authority in
addition to any sum agreed to be paid.

Inspection

UBEX reserves the right to open and inspect the shipment without prior notice for safety,
security, customs, or other regulatory reasons, and it will be re-packed in a manner that is
consistent with common packaging standards and at least consistent with pre-inspection
packaging.

Time Limits for Claims

All claims must be submitted in writing to UBEX within thirty (30) days from the date that UBEX
accepted the Shipment, failing which UBEX shall have no liability whatsoever. Claims are
limited to one claim per Shipment.

Shipping Charges and Fees

UBEX's Shipping charges are calculated according to the higher actual or volumetric weight per piece and any piece may be re-weighed and re-measured by UBEX to confirm this calculation. Shipper, or the Receiver when UBEX acts on the receiver's behalf, shall pay or reimburse UBEX for all shipment or other charges due, or customs duties owed for services provided by UBEX or incurred by UBEX on the shipper's or receiver's behalf. Payment of customs duties may be requested prior to delivery.

If UBEX uses its credit with the customs authorities or advances any customs duties on behalf of a receiver who does not have an account with UBEX, UBEX shall be entitled to assess a fee.

Circumstances Beyond UBEX’s Control

UBEX is not liable for any loss or damage arising out of circumstances beyond UBEX’s control.
These include but are not limited to electrical or magnetic damage to, or erasure of, electronic
or photographic images, data or recordings; any defect or characteristic related to the nature
of the Shipment, even if known to UBEX; any act or omission by a person not employed or
contracted by UBEX - e.g. Customer, Receiver, third party, customs or other government
official; “Force Majeure” -e.g. earthquake, cyclone, storm, flood, fog, war, plane crash,
embargo, riot, civil commotion, or industrial action.

Routing
Customer agrees to all routing and diversion, including the possibility that the Shipment may be carried via intermediate stopping places.

Customer’s Warranties and Indemnities

Customer shall indemnify and hold UBEX harmless for any loss or damage arising out of Customer’s failure to comply with the following warranties and representations:

I. All information provided by Customer, or its representatives is complete and accurate.
II. The Shipment was prepared on secure premises by reliable persons and was protected against unauthorized interference during preparation, storage and any transportation to UBEX.
III. Customer has complied with all applicable customs, import, export, data protection
laws, sanctions, embargoes and other laws and regulations.
IV. Customer has obtained all necessary consents in relation to personal data provided to UBEX including Receiver’s data as may be required for transport, customs clearance, and delivery, such as e-mail address and mobile phone number.

Duration and Termination

I. This Agreement shall be in effect for a period of one year from the Effective Date. This Agreement is automatically renewed for successive periods of one year each, provided that either party does not terminate the Agreement within 30 days prior to the renewal date.

II. Without prejudice to any accrued rights and remedies under this Agreement, either party shall be entitled to terminate this Agreement immediately upon written notice to the other party, without the need to obtain a court order and without the need for any judicial notification: 1) upon the insolvency or incapacity of the other party or upon the other party entering into any arrangement with its creditors or having a receiver or trustee appointed over any of its assets; 2) upon the other party committing a material breach of the terms of this Agreement which is not capable of remedy or if capable of remedy shall not have been remedied within five (5) days of the other party has received a written complaint specifying the nature of such breach; or with immediate effect, upon written notes.

III. Upon termination, all amounts shall be immediately due and payable by the Customer for services provided to it and/or to its affiliates in the event the customer is contracting for or on behalf of any of its affiliates with regard to obtaining services.

Governing Law
This Agreement shall be construed, enforced, governed, and controlled under the laws of Kingdom of Bahrain.
